1. The marketplace

Icebreaker connects people and facilitates professional and personal references between givers and seekers. Icebreaker is not a certifier of references. References are provided by participants, not certified statements issued by the marketplace.

These terms are an agreement with IceBreaker Tech, a DBA of Penguin Media LLC, 306 W Redwood St Ste 202, Baltimore, MD 21201-1708 (phone 667-268-3380), the operator of Icebreaker. Effective date: January 1, 2026. [OWNER TO COMPLETE]: scope of these terms.

2. Accounts and participation

[OWNER TO COMPLETE]: define eligibility, account responsibilities, acceptable conduct, and the responsibilities of givers and seekers.

3. References and content

[OWNER TO COMPLETE]: set out participant responsibilities for reference content, permissions, prohibited content, and reporting concerns. Explain the limits of marketplace facilitation without implying certification.

4. IceCredits, orders, and cashouts

[OWNER TO COMPLETE]: document the reviewed terms for purchasing and using IceCredits, reference orders, cancellations, disputes, refunds, and giver cashouts.

Fees and giver commission

• Seekers pay a 12% booking fee on top of the giver's listed price.
• Icebreaker keeps a 20% commission on the giver's listed price, rounded down to whole IceCredits. The giver keeps the rest, which is always at least 80% of the listed price, plus 100% of any rapid surcharge.
• The commission applies to orders placed on or after October 22, 2026. Orders placed before that date carry no commission.
• Givers will get at least 30 days' notice before any change to the commission rate.
• If a dispute is resolved partly in the giver's favor, the 20% commission applies only to the amount the giver actually receives.

5. Liability and ending participation

6. Jurisdiction, disputes, and contact

These terms are governed by the laws of the State of Maryland, and the parties submit to the exclusive venue of the state and federal courts located in Maryland.
